PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEB SITE ("SITE"). USE OF THIS SITE OR THE DOWNLOADING OF MATERIALS FROM THIS SITE CONSTITUTES AGREEMENT TO THESE TERMS OF USE ("Agreement"). By accessing, browsing and/or using this Site, you ("You" or "User") acknowledge that You have read, understood and agree to be bound by this Agreement and to comply with all applicable laws and regulations. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THIS SITE OR DOWNLOAD ANY MATERIALS FROM THIS SITE.

  1. Application of Terms

    This Site is provided as a service to You to allow You access to Insperity's services. These services include, but are not limited to, plan selection and the submission of payroll information for worksite employees, submission of enrollment information for benefit plans and 401(k) plans, direct deposit of paycheck information, the submission or updating of other information pertaining to worksite employees, and procurement of goods and services through OneBigPlanetSM. This Agreement pertains only to the use of this Site and does not supersede the Client Service Agreement or Employment Agreement executed between You and any Insperity affiliate. In the case of a conflict between this Agreement and the Client Service Agreement or between this Agreement and the Employment Agreement, the Client Service Agreement or Employment Agreement will control. Insperity reserves the right to change any features or policies relating to this Site at any time in its sole discretion.


  2. Intended Audience

    This Site is operated and/or controlled by Insperity Services, L.P. ("Insperity") and all of the information, communications, scripting, photos, images, text, video, graphics, music, sounds, user interfaces, visual interfaces and other materials and services found on this Site (collectively, the "Content") is intended for the lawful use of Insperity's clients, employees and customers who are located in the United States of America and are over the age of 17. This Site is not a children's site and Insperity does not solicit data from children or market to children. This Site is controlled and operated in whole or in part by Insperity from its offices within the United States. Insperity makes no representations that this Site or the Content is appropriate or available for use in other locations. This Site is not to be accessed or used outside of the United States and those accessing this Site from other locations do so at their own risk and are responsible for compliance with applicable local laws. By accessing this Site, You acknowledge that Insperity reserves the right in its sole discretion to refuse or terminate access to this Site at any time.

    Nothing on this Site shall be interpreted as offering tax, financial or legal advice.


  3. Privacy

    You agree to read and periodically review the Privacy Policy posted on this Site. You agree to the terms of the Privacy Policy as posted by Insperity.


  4. Confidential Information

    • Access. Insperity shall be responsible for the security, confidentiality and integrity of all information properly submitted to this Site. User shall be solely responsible for the security, confidentiality and integrity of all information maintained on its, his or her own computer, Web site, e-mail system or any other system. User is responsible for completely and properly exiting from this Site at the end of any session. User shall be solely responsible for any authorized or unauthorized access to this Site through the use of User's password by any person, or through the use of User's computer by any person or code functionality working in or through User's computer. User agrees to maintain its, his or her password in total confidence and to bear all responsibility for the confidentiality of User's password and all costs or administrative charges incurred from use of this Site with User's password. User agrees to immediately notify Insperity and to change its, his or her password if the secrecy of its, his or her password is compromised. User agrees to immediately notify Insperity if its, his or her computer has been seriously compromised by virus, worm, disabling code or unauthorized intrusion.


    • Reports. You may access reports and other information through this Site. Insperity does not make any express or implied warranties about the accuracy or the completeness of the information contained on this Site or in any such reports and expressly disclaims any warranty that the information contained on this Site or in such report is suitable for any particular purpose. You are solely responsible for determining whether the information contained on this Site or in such report is suitable for a particular purpose. If you access, download, copy or print any confidential information, including reports, which may contain confidential information, such information should be maintained in strictest confidence. Do not send reports or any confidential information through any non-secure email format or otherwise make it available in a non-secure fashion. Do not provide any confidential information to any third party without also providing this notice. When the confidential information is no longer needed, the confidential information must be shred so that the confidential information is undecipherable. You are responsible for complying with all state and federal security breach and privacy laws with respect to the handling and destruction of the confidential information, including but not limited to, notification requirements that may be triggered in the event of a compromise of any confidential information.



  5. Intellectual Property Rights

    • Insperity Marks. Insperity, its suppliers or its licensors own all copyrights to the Content on this Site and all other intellectual property rights related to this Site. All trademarks, service marks and trade names (collectively, the "Marks") are proprietary to Insperity or its suppliers or licensors. You acknowledge that You have been advised by Insperity that the Content, Marks and all other proprietary material accessible through this Site is protected in the U.S. and internationally by a variety of laws and regulations. THE UNAUTHORIZED USE, COPYING OR DISPLAY OF ANY CONTENT FROM THIS SITE IS NOT PERMITTED. YOU MAY ONLY VIEW OR DOWNLOAD CONTENT FROM THIS SITE FOR YOUR OWN AUTHORIZED USE AND YOU MUST KEEP ALL COPYRIGHT AND OTHER PROPRIETARY NOTICES ATTACHED TO THE DOWNLOADED MATERIAL.


    • Client Marks. This Site can be co-branded with an Insperity client company's trademark, service mark or logo ("Client Mark"). If an Insperity client company wishes to have this Site co-branded with its Client Mark for the Insperity worksite employees co-employed by such Insperity client company, it should notify Insperity of such desire and submit to Insperity its Client Mark in a form and manner as prescribed by Insperity. By submitting its Client Mark, the Insperity client company grants a world-wide non-exclusive, royalty-free right and license to Insperity to use the Client Mark on this Site. Such license shall expire upon expiration of this Agreement or upon termination of the client company's Client Service Agreement with Insperity.


  6. External Sites

    This Site may contain links to other Web sites which are owned or operated by third parties or by the U.S. Government ("External sites"). Insperity makes no representations whatsoever about any other site that You may access through this Site. Insperity is not responsible for the policies and content at External sites and Insperity does not control the privacy policies for External sites nor does Insperity control how user information will be utilized at External sites. Since Insperity has no control over such sites and resources, You acknowledge and agree that Insperity is not responsible for the availability of such External sites or resources and is not responsible or liable for any content, advertising, products, services or other material on or available from such External sites or resources. Links to External sites are provided solely as a convenience to authorized Users of this Site. It is your responsibility to take precautions to ensure that whatever site You select for your use is free of such items as viruses, worms, Trojan horses or other items of a destructive or disruptive nature. It also is your responsibility to read the terms of use and the privacy policies that may appear on such External sites and to determine for yourself whether You are willing to assent to such terms or policies. References on this Site to any names, marks, products or services of any third parties to hypertext links to third party sites are provided solely as a convenience to You, and do not constitute or imply an endorsement, sponsorship or recommendation of, or affiliation with the third party or its products and services.   8. General Release

    You release Insperity, its affiliates, its and their officers, directors, employees and agents from any claim, demand or damages (actual, consequential or punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected to User's use of this Site.


  9. LIMITATION OF LIABILITY

    UNDER NO CIRCUMSTANCES SHALL INSPERITY BE LIABLE TO USER OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES FOR ANY MATTER ARISING FROM OR RELATING TO THIS AGREEMENT, THIS SITE OR THE INTERNET GENERALLY, INCLUDING USER'S USE OF OR INABILITY TO USE THIS SITE, ANY CHANGES TO OR INACCESSIBILITY OF THIS SITE, ANY DELAY, FAILURE, UNAUTHORIZED ACCESS TO OR ALTERATION OF ANY TRANSMISSION OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT OR OTHERWISE. IF USER IS DISSATISFIED WITH THIS SITE, USER'S SOLE AND EXCLUSIVE REMEDY SHALL BE TO CEASE USE OF THIS SITE. IN NO EVENT SHALL INSPERITY'S TOTAL LIABILITY FOR DIRECT DAMAGES EXCEED $500.


  10. Representations and Warranties of User

    • General. User represents and warrants to Insperity that: (i) all information provided by User to Insperity is truthful, accurate and complete; (ii) all information provided by User to Insperity is not in violation of any governmental regulation, statute or law; and (iii) User shall comply with all terms and conditions of this Agreement. User understands that Insperity will rely upon the accuracy and completeness of the information submitted by User to this Site.


    • Payroll Information submitted on WebPayroll. In addition to the representations and warranties set forth in the paragraph above, any User submitting payroll information on Insperity WebPayroll certifies that: (i) all hours worked by any employee have been reported; (ii) all employees have been properly classified as exempt or non-exempt; (iii) overtime has been properly reported for all non-exempt employees; and (iv) all employees on leave (i.e., workers' compensation, FMLA, sick, vacation or personal, leave of absence) have been reported and documented with explanation.


    • Trademarks. If applicable, any User submitting its Client Mark to Insperity for the purposes of co-branding this Site for its worksite employees, represents and warrants that it has the legal right to grant the license to use the Client Mark as set forth in paragraph 5(b) of this Agreement and further, that Client Mark shall not infringe on the rights of any third party.


  11. Prohibited Use

    User is solely responsible for all errors, mistakes, acts and omissions that occur by the use of User's computers or systems. User agrees not to use this Site to: (a) list, post, market, advertise, offer or sell any product or service (except as allowed on Insperity's MarketPlace site located on OneBigPlanetSM); (b) disseminate, store or transmit chain letters, pyramids, unsolicited messages or unsolicited commercial e-mail; (c) disseminate or transmit products, services or material that, in Insperity's sole judgment, is abusive, obscene, pornographic, defamatory, racist, sexist, harassing, threatening, malicious, dangerous or otherwise inconsistent with the commercial use of this Site; (d) disseminate, store or transmit files, graphics, software or other material that actually or potentially infringe the copyright, trademark, patent, trade secret or other intellectual property right of any person or entity; (e) interfere, disrupt or attempt to gain unauthorized access to this Site or to any other computer network; (f) disseminate, store or transmit computer viruses, Trojan horses or any other malicious code or program; or (g) engage in any other activity deemed by Insperity to be in conflict with the intent of this Agreement.


  12. Indemnification

    YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND INSPERITY, ITS AFFILIATES AND SUBSIDIARIES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FROM AND AGAINST ANY LOSSES, COSTS, DAMAGES, LIABILITY OR EXPENSES, INCLUDING COSTS AND ATTORNEY'S FEES, ASSERTED BY ANY PERSON, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THIS SITE.


  13. Termination

    Insperity reserves the right, in its sole discretion and without notice, at any time and for any reason, to: (a) remove or disable access to all or any portion of this Site; (b) suspend User's access to or use of all or any portion of this Site; (c) terminate any license granted herein; or (d) retrieve any material obtained by You from this Site.


  14. Miscellaneous

    • Notice. All notices to Insperity shall be in writing by certified mail or commercial delivery service against receipt to Insperity to the attention of the General Counsel, Insperity at 19001 Crescent Springs Drive, Kingwood, Texas 77339-3802. Notice to Insperity shall not be by facsimile transmission or e-mail.


    • Law. This Agreement shall be governed by the laws of the State of Texas applicable to agreements as if made and to be performed wholly within such state, except for its provisions regarding conflicts of laws.


    • Forum; Venue. All actions, claims or disputes arising under or relating to this Agreement shall be brought in the federal or state courts in the State of Texas. Venue shall be in Harris County, Texas.


    • Entire Agreement. This Agreement constitutes the complete statement of the agreement between the parties with respect to this Site and supersedes any prior or contemporaneous communications, negotiations, representations, statements and understandings, whether oral or written, between the parties concerning this Site.


    • Changes or Amendments to this Agreement. Insperity reserves the right to change or amend any of the terms of use contained in this Agreement at any time in its sole discretion. User may review the current version of these terms and conditions at any time at http://www.InsperityServices.com. Any changes or amendments will be effective upon posting notice of the revisions on this Site. It is User's responsibility to periodically check these Terms of Use. User agrees to review such notices and to note any applicable changes. User's continued use of this Site following Insperity's posting of any notice of change or amendment will constitute User's agreement to such changes or amendments and to the then-current version of these terms of use.

Privacy Policy

Notice of Privacy Policy – Effective March 4, 2011

Introduction
Insperity respects your privacy. We have created this privacy policy (“Privacy Policy”) to demonstrate our firm commitment to online privacy. This “Notice of Privacy Policy” discloses the information gathering and dissemination practices for certain of Insperity’s Web Sites, which include Insperity.com and our password-protected Internet service platforms–the Employee Service CenterSM (collectively referred to as the “Insperity Web Sites”), which are available primarily to us, our clients, our employees and their families. This Privacy Policy does not apply to all of the sites owned or operated by Insperity and you should carefully review the Privacy Policy for each site you use. Except as noted above, this Privacy Policy applies to all information that you provide to Insperity and that Insperity maintains electronically, whether you provide the information through the Insperity Web Sites or through other means. Additionally, this Privacy Policy applies to any personal information obtained from your use (and, if applicable, your family’s use) of the Insperity Web Sites. This Privacy Policy does not apply to any information that you may provide to third parties; for example, other sites linked to the Insperity Web Sites. You should contact such third parties directly to determine their respective privacy policies. As used herein, the terms “Insperity,” “we,” “our” and “its” when referring to Insperity, Inc. and its related companies are used only for convenience and are not intended to be an accurate description of ownership, operation or corporate/legal relationships.


What information does Insperity collect?

If you are an employee or client of Insperity, we collect and maintain a variety of personal information about you and, if applicable, your company and employees. This information may be collected through the Employee Service Center, other Insperity Web Sites or through paper forms submitted by you. For employees, the information we maintain includes, among other things:

We may make some or all of this information available for your or your worksite employer’s use on the Employee Service Center. For clients, examples of this information include:

Depending on the use that you make of the Insperity Web Sites, we may also collect your Internet Protocol (IP) address (which is the unique address of your computer), information about your interests and preferences, and, if you decide to send us your resume, information included in your resume. From time to time, we may conduct surveys or offer contests or other promotional events, and gather additional personal information from you in connection with those events. Insperity may store and analyze log files from user sessions.

What is this information used for?

We use your personal information in the course of your employment or client relationship with Insperity. Among other things, we use this information to provide you with the services available on the Employee Service Center. For example, we allow you to edit and update personal information online and allow you to download forms that have been pre-populated with your personal information. We also use your information for other things, which may include but is not limited to the following:

Insperity uses your personally identifiable information to communicate with you in the course of your employment or client relationship. We may also contact you to tell you about products and services provided by Insperity’s strategic alliances and other third-party organizations. While we must be able to contact you for matters relating to your employment or your client relationship, if you do not wish to receive e-mail communications from Insperity regarding strategic alliance offers or other third-party products and services, you may opt out of receiving such communications by following the procedure set forth in such e-mail. Insperity will continue to contact you for matters relating to your employment or your client relationship.

IP addresses are numbers that are automatically assigned to your computer, and if associated with other individually identifiable information, could be considered personal information. We use your IP address to help diagnose problems with our server and to administer and improve the Insperity Web Sites. Your IP address is also used to help identify you and to gather broad demographic information, some of which we aggregate and then share with our strategic alliances or potential strategic alliance companies. We also use your IP address to keep track of the information you have seen on our sites.

Cookies are a standard technology used by commercial Web services to store small pieces of information on your hard drive by sending a small string of text to your browser. They make your use of the Insperity Web Sites more pleasing and efficient by, for example, “personalizing” your user interface or identifying which parts of a site you have previously visited. They also enable us to pre-populate, or automatically fill out, forms and schedules. They enable us to tailor the information you receive and to assist third-party organizations with whom we have strategic alliances by identifying you as an Insperity client, employee or user of the Insperity Web Sites. Most Web browsers automatically accept cookies, unless you have configured yours not to accept them. In order for us to provide you with services on the Employee Service Center, your browser must accept cookies, as they are essential for site administration and security. Insperity does not use cookies either to collect individually identifiable information or to collect non-individually identifiable information using a cookie that is combined with a personal identifier.

If you send us your resume, we use that information to assist you with job placement. Insperity may also collect the name of the domain from which you access the Internet (e.g., aol.com); the date and time you access the Insperity Web Sites, the Internet address of any Web site from which you link directly to the Insperity Web Sites as well as collecting and storing other information in a user’s log file. A user’s log file tells Insperity where a user comes from when entering the Insperity Web Sites, which part of the Insperity Web Sites the user visits as well as where the user goes when leaving the Insperity Web Sites; and how much time the user spends in the Insperity Web Sites. In addition, Insperity may collect e-mail addresses and other personal information from persons who are not current employees or clients of Insperity.

Insperity may use information it collects in order to reward or provide incentives to employees, client companies or other users of the Insperity Web Sites for visiting the Insperity Web Sites, using services provided on the Insperity Web Sites, or for visiting the Web sites of Insperity’s strategic alliances or affiliates.

With whom is this information shared?

Insperity shares personal information only as described below:

We may share your information among related companies of Insperity, even if the related company is not a party to your client service or employment agreement. In addition, we may from time to time transfer our database of employee information to third-party contractors who analyze such information on behalf of Insperity for the purpose of, among other things, targeting e-mails to employees regarding strategic alliance offers, or who mail marketing materials to employees regarding strategic alliance offers. Additionally, we may from time to time transfer our database of employee information to a third-party contractor to whom we have outsourced certain of the services that Insperity provides to its clients and/or employees. For example, Insperity may outsource its employment verification services to a third-party vendor who performs such services on behalf of Insperity. Such third-party contractors are contractually bound to hold all such information in confidence and not to share such information with any parties other than Insperity.

If you are an employee, most of your personal information is also available to your individual worksite employer. However, Insperity does not provide information regarding your physical and/or mental health to any third party for any purposes, unless compelled by a governmental or legal authority.

Insperity will also provide personally identifiable information to its third-party benefit providers in conjunction with the administration of its benefit plans.

If necessary to respond to an apparent medical emergency, Insperity may disclose selected employee information.

Insperity has entered into marketing agreements, strategic alliances and other relationships with third-party organizations that may offer or provide products and services to you, sometimes under discounted or preferential terms. We may provide certain information including, but not limited to, your e-mail address and other contact information to our strategic alliance and other third-party organizations so that they may contact you directly regarding products and services that may be of particular interest to you and/or your company. These strategic alliance and third-party organizations are contractually bound to hold your e-mail address and other contact information in confidence and not to share your information with parties other than Insperity. We also sometimes agree to give these third parties (including potential parties to strategic alliances) aggregated, non-personally identifiable information about our clients, employees or visitors. Please directly contact any strategic alliances or third parties for instructions on how you may opt out of receiving marketing communications from such strategic alliances or other third-party organizations.

As Insperity continues to develop its businesses, it may sell various aspects of its business. If Insperity sells a portion of its business, it will transfer personal information associated with that business as part of such a sale. Also, in the unlikely event that Insperity or substantially all of its assets are acquired, personal information regarding employees and clients will be one of the transferred assets.

What access do you have to information you provide?

You have access to much of your personal information through the Employee Service Center, where you can view and update most of the personal information we maintain.

Security measures

Insperity makes access to your personally identifiable information subject to certain security measures, including technological controls such as “firewalls,” in accordance with industry standards. When the use of the Insperity Web Sites involve the transmission of confidential information about you or Insperity, we use Secure Socket Layer (SSL) technology to establish a secure connection between your PC and our server. SSL allows the transmission of encrypted information from your PC to our server and back again and is the industry standard for Internet platform security. No data transmission over the Internet can be guaranteed to be 100% secure, so while Insperity strives to protect your personal information, we cannot ensure or warrant the security of any information that you transmit to Insperity.

Disclaimer of responsibility for privacy policy and content at linked sites

The Insperity Web Sites may provide you with links to other Web sites. We are not responsible for those sites and cannot control the use of information that you submit once you reach those sites, nor can we control the content of what is offered on those sites or on links from those sites. You should contact such third-party Web sites directly to determine their privacy policies.

Use of information from third parties

We may use information about you provided to us by third parties (such as credit reporting agencies or strategic alliances) in order to offer you their services and products, to improve our own services or to evaluate your eligibility for our services.

This is not a children’s Web site

Insperity does not knowingly solicit data from children, and we do not knowingly market to children.

Applicable only to U.S. residents

The Insperity Web Sites are designed for and intended only for the use of clients located in the United States and employees who are U.S. citizens or are residents of the United States If you are a client that is located outside of the United States, you are not authorized to access any of the Insperity Web Sites.

Changes in these policies and practices

Insperity reserves the right to change its privacy policies and practices periodically, without providing individual notice, by updating this Privacy Policy notice. This Privacy Policy was last updated on March 4, 2011. You agree that it is your responsibility to monitor such updates. Your continued use of any of the Insperity Web Sites after such revisions have been made or your failure to object in writing to any notice of such change will constitute your full acceptance of such revised Privacy Policy.

California Residents – Your Privacy Rights

California Civil Code Section 1798.83 permits California residents who provide personal information in obtaining products or services for personal, family or household use to request and obtain from us once a year, free of charge, information about the personal information (if any) we disclosed to third parties for their direct marketing purposes in the preceding calendar year. If applicable, this information would include a list of the categories of personal information that was shared and the names and addresses of all third parties with which we shared information in the immediately preceding calendar year. If you are a California resident and would like to make such a request, please submit your request in writing to the address provided at the end of this Privacy Policy. Please be aware that not all information sharing is covered by the Section 1798.83 requirements, and only information on covered sharing for California customers will be included in our response.

To be effective, a notification of claimed infringement must be a written communication provided to the agent designated above that includes substantially the following:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.
  4. Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted.
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
